Business transfer guide

1. What is transferred

A transfer (traspaso) hands over the premises (lease), furniture, customers and often the activity licence. Check exactly what the price includes.

2. Lease

Ask for the current lease and confirm the assignment or a new lease with the landlord; the LAU sets the landlord’s rights.

3. Licences

Check with the town hall that the activity licence is valid and whether the change of holder needs a prior notice.

4. Debts and staff

Ask for certificates showing taxes and social security are paid; in a transfer of undertaking the employment contracts pass to the buyer (art. 44 ET).
